The best run DevOps teams in the world choose Perforce.   Position Summary: The Legal Team is searching for a Contracts Manager to join the Commercial Transactions team at Perforce.  We are looking for an individual who is detail-oriented, has strong organizational skills, and can work effectively within a team environment while managing priorities and deadlines. The individual in this role will be responsible for supporting the review, redlining, and negotiation of commercial agreements between Perforce and its customers and partners, including identifying and making edits during the legal review process, and helping ensure proper follow-up to facilitate the implementation of final agreements.  We are looking for a candidate who operates with integrity and ethical standards to support solutions that serve our customers and partners, while helping to manage risks under the guidance of senior team members. The position will work closely with cross-functional teams and will report to the Senior Contracts Manager. Responsibilities:
  • Review, redline, and support negotiation of software licensing agreements and other commercial agreements to support the sales organization.
  • Apply established guidelines and playbooks when reviewing contracts, escalating complex issues to senior team members when appropriate.
  • Support internal stakeholders on sales and support related issues, helping to balance business objectives with legal risks.
  • Assist with maintaining and implementing contract templates and legal processes, including supporting CLM implementation efforts.
  • Collaborate with internal business functions to ensure efficient legal support for commercial transactions.
  • Help maintain the Perforce commercial contracts database and ensure contracts are properly documented, filed, and tracked.
  • Learn and apply knowledge of business models, sales motions, and commercial negotiation practices to identify basic areas of risk.
  • Qualifications:
  • Undergraduate or higher-level degree required.
  • 4-6 years of hands-on experience in reviewing and supporting negotiations of software and technology agreements.
  • Good drafting skills and ability to follow established templates and playbooks.
  • Team player who can effectively communicate issues externally and internally.
  • Strong organizational skills and ability to manage multiple assignments with guidance.
  • Detail-oriented with the ability to work in a fast-paced environment.
  • Eagerness to learn about the Perforce business, our teams, and the customers we support.
  • Basic project management skills.
  • Experience with contract management systems a plus.
  • Prior experience at a software/technology company preferred.
